During the validity of this agreement, if either of the two parties is found to have violated the stipulations herei n, the other party has the right to termi nate this agreement. If one party wants to extend this agreement, this party should notify the other party by written notice Three months before the agreement's termination.

Party A shall supply after sale service, technical support and advertising guide. Party B shall furnish accommodation and cooperation on work to Party A's staff. 

9.    Market Report(第九项是市场报告)

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any ti me when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, price, etc. of the goods supplied by Party A under this agreement.     

10. Industrial Property Rights(第十项是工业产品权利)

Within the validity of this agreement, Party B may use the trade-marks owned by Party A for the sale of the Mill and crusher covered herein and Party B shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Mill shall remain to be the sole properties of Party A. Any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the Party A's rights.

11. Force Majeure(第十一项是强制力)

Either party shal l not be held responsible for fai lure or delay to perform all or any part of this agreement due to flood, fire,  earthquake, draught, war or any other events which could not be predicted, control I ed, avoided or overcome by the relative party. However, the party affected by the event of Force M ajeure shal l inform the other party of its occurrence i n writi ng as soon as possible, and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

12.    Arbitration(第十二项目是仲裁)

All disputes arising from the performance of this agreement shal l be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Shanghai) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties.

13.    Confidentiality(第十三项目是信任条款)

Party B should not disclose the business secrets to others, in or after the validity of this agreement. Party B also should not use these business secrets on the other aspects which are out of this agreement's range.

14.    Other Items(其他条款)

1)    The other items should be subject to the contract of sale. If there is repugnance, it is subject to the contract of sale.

2) This agreement is written in Chinese and in English version. Both languages are equally authentic. (If written in both Chinese and English language)

15.  This agreement is quadruplicating, each party hold two copies.(第十五项目是双方的签名和签章)
